OFFICIAL CONTEST RULES

To Enter: Participants in the contest may be male or female age 16 years or older. The film entries
must be 5 minutes or less. Any genre or motion picture medium is permitted except advertisements.
Participants must be Vimeo.com members to upload. If you are NOT a Vimeo member you must join
as a Basic member for free:
www.vimeo.com/join. The deadline to submit your film is May 17, 11:59 pm
Eastern Standard Time. X-Factor Filmmakers reserves the right to extend the competition deadline for
any unforeseen reasons if needed. Employees and family members of X-Factor Filmmakers and any
parties who are professional filmmaker ("professional" is defined for the purposes of these Official
Rules as an Entrant who receives his/her principal livelihood, now or in the past, from filmmaking) may
not enter. Also, participants wishing to enter a film with a budget of over $15,000.00 may not enter.

Grand Prize: $1000 and Avid Media Composer editing software worth $2500.

Additional Prizes: Five of the films entered will be chosen by The Garage, a site that showcases great
short film work, to be part of their collection.

Selection of Winner: The winning film will be decided by votes from fellow Vimeo.com members. To
vote, “LIKE” a film by clicking on the heart in the right-hand corner of the video. Voting will be open from
March 22 until May 3
1, 2010 at 11:59 pm Eastern Standard Time. The winner of the Grand Prize will be
announced on J
une 1. The prize will be awarded to the first name as it appears on the entry form, and
division of the prize among co-directors is the responsibility of the winners.*

Conditions of Entry: Participants in this contest must be Vimeo.com members. Vimeo.com is where the
contest will be hosted and participating videos will be uploaded to the Vimeo group called, X-Factor
Filmmakers Short Film Contest. The film entries must be 5 minutes or less. Any genre or motion
picture medium is permitted except advertisements.
Each participant may enter only one film. By
entering, participants agree to give X-Factor Filmmakers and its sponsors the right to screen the film
for promotional purposes and use it on its website during and after the contest period.

Films must contain only original content. No copyright protected material may be used in the films
(unless the copyright contains the ability to edit and share content such as with certain Creative
Commons copyrights). So that the videos play properly and at the highest quality, the following detailed
guidelines for Vimeo uploads apply:

Payment: A contribution of $20.00 must be made here at www.xfactorfilm.com to enter the contest from
March 22 through M
ay 17, 2010. No payments will be accepted after May 17 at 11:59 pm Eastern
Standard Time. However, if participants have paid by that date his/her film can be uploaded until M
ay 18
at 11:59 pm Eastern Standard Time.

Any film that contains material which is sexually explicit, obscene, pornographic, violent, self-mutilating,
discriminatory, illegal, offensive, threatening, profane, or harassing; or material that contains any
derogatory references to any Contest Entities is subject to removal from the contest at any point without
warning.

All videos, which do not meet all of the above guidelines may be deleted without warning and will not
be admitted to the contest. If this happens the accused participant’s entry fee will be reimbursed to the
original credit card used to make the payment.

Winner's will be required to sign an affidavit confirming that their short film is original and he/she holds
all rights. Failure to sign and return the form within the required time period (30 days) or provision of
false information may result in disqualification and an alternate winner may be selected. Affidavits of
winners under 18 years of age at time of award must be countersigned by parent or legal guardian.

* The X-Factor Filmmakers Short Film Contest needs to reach a predetermined number of participants to support the
a
ward and management costs of the contest. If this number is not met then the contest will be cancelled and the
participants’ entry fees will be reimbursed to the original credit cards used to make payment.
